vvinglobal Web Design & Development – Terms of Service
These Terms of Service apply to all website design, e-commerce development, and related services provided by vvinglobal. By placing an order or signing an agreement with vvinglobal, you agree to the terms outlined below.
To initiate services, customers must provide a valid billing address. Additional information may be requested at the time of signup and must be submitted accordingly.
1. Payment Terms – Website Development
A 50% non-refundable down payment is required before development begins. Final payment is due within 15 days of project completion. If the project exceeds 30 days, a progress invoice of at least 25% of the remaining balance will be issued. Monthly maintenance and update services are billed on the 1st of each month.
General Payment Terms
All invoices are due within 15 days. Accounts are in default after 20 days. Non-cleared checks will result in immediate default and a $35 returned check fee. Services may be suspended if an invoice remains unpaid for 60 days, but monthly charges will continue to accrue.
Late payments will incur a $5.00 fee or 1.5% of the outstanding balance, whichever is greater (subject to applicable state law). vvinglobal reserves the right to recover collection and attorney fees for defaulted accounts.
3. Service Interruptions
vvinglobal is not responsible for service disruptions beyond its control, including but not limited to issues caused by third-party providers or natural disasters.
4. Account Security
Customers are responsible for keeping login credentials and authentication codes secure. Sharing of account information is strictly prohibited. If credentials are compromised, customers must notify vvinglobal immediately via phone or email.
5. Governing Law
All disputes related to this agreement must be resolved through mediation before initiating legal or arbitration proceedings.
6. Content & Acceptable Use Policy
vvinglobal services must be used in compliance with all applicable U.S. Federal, State, and Local laws. Prohibited content includes:
Plagiarized or copyrighted material
Threatening, racist, or obscene content
Pornographic content or warez
Unlicensed software or MP3s
Hacking tools or spam-related services
7. Proposal Scope & Modifications
Customers are responsible for reviewing proposals in full. Requests beyond the original scope may be declined or billed additionally. Extra services are payable before development or on a net-15 basis, as determined by vvinglobal.
8. Project Timelines & Delays
Clients must adhere to the agreed timeline. Delays caused by the client may disrupt vvinglobal’s workflow, incur additional charges, or result in project termination. In such cases, down payments are non-refundable. A new agreement may be required to restart a halted project.
9. Website Copyright
A. Custom Websites:
Upon full payment, copyright is transferred to the client. If canceled, the client may request their full website files (.zip) and MySQL database dump (.sql), if applicable.
B. Semi-Custom Websites:
Copyright transfers after 1 year of active subscription or upon full advance payment. WordPress admin credentials are not provided. Upon cancellation and copyright transfer, clients will receive all site files and database backups (if available).
10. Website Launch & Access
Once the project is completed and approved, it is considered final. Any changes outside the agreed scope may incur additional charges. Clients must launch the website or provide credentials for launch within one week of completion. Failure to do so may delay go-live and result in extra fees.
Final account access and training are provided only after full payment is received.
